1. Acceptance of Terms
By accessing www.ayanixtech.com or engaging Ayanix Tech (“Company”, “we”, “us”) for any service, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.
2. Company Services
Ayanix Tech is a software development company offering the following services:
- Website Development
- Mobile App Development
- ERP Development
- POS Software
- SaaS Development
- AI Solutions
3. Project Scope
The scope of every project — including features, deliverables, and timelines — is defined in a written proposal, quotation, or agreement shared with the client prior to project commencement. Work outside the agreed scope is considered an additional request and may be subject to extra charges and timeline adjustments.
4. Change Request Process
Any request to modify agreed project scope, features, or design after work has begun must be submitted in writing. Depending on the nature and complexity of the change, Ayanix Tech will provide a revised timeline and, where applicable, additional cost estimate before proceeding.
5. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and content in a timely manner
- Timely feedback and approvals at each project milestone
- Providing necessary access credentials (hosting, domain, APIs) where required
- Making payments as per the agreed payment schedule
6. Payment Terms
Payment terms, including advance payment, milestone payments, and final payment, are agreed upon before project commencement and specified in the project proposal or invoice. Delayed payments may result in a pause of ongoing work until dues are cleared.
7. Intellectual Property
Upon full and final payment, ownership of the final delivered work product transfers to the client, unless otherwise agreed in writing. Ayanix Tech retains the right to use reusable code components, frameworks, and internal tools developed independently of the client engagement, and may showcase completed projects in its portfolio unless confidentiality has been agreed upon separately.
8. Delivery Timelines
Estimated delivery timelines are communicated at the start of each project. Timelines may be affected by delayed client feedback, incomplete content/assets, scope changes, or factors outside Ayanix Tech's reasonable control.
9. Third Party Services
Projects may involve third-party services such as hosting providers, domain registrars, payment gateways, or APIs. Ayanix Tech is not responsible for the performance, availability, pricing, or policies of such third-party services.
10. Limitation of Liability
Ayanix Tech provides its services on an “as-is” basis and shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website, to the maximum extent permitted by applicable law.
11. Service Termination
Either party may terminate an ongoing project engagement with written notice. In case of termination, the client is liable to pay for all work completed up to the date of termination. Ayanix Tech reserves the right to suspend or terminate services in cases of non-payment or breach of these terms.
12. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of India.
13. Jurisdiction
Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.
